Introduction

This Acceptable Use Policy (“AUP”) outlines the rules governing the access to and use of the Software as a Service Platform, Marketplace Services, and any related services (collectively, the “Services”) provided by Disprz (“Company,” “we,” “us,” or “our”). By accessing or using the Services, you agree to comply with this AUP. Customers are responsible for ensuring that all Authorized Users comply with these standards. 

Prohibited Activities

To maintain the integrity and security of the Platform, you shall not, and shall not permit any third party to: 

  1. Reverse Engineering: Reverse assemble, reverse compile, translate, or reverse engineer any part of the Services.
  2. Unauthorized Distribution: Use, copy, modify, or distribute the Services except as expressly permitted in the Terms.
  3. Component Separation: Use any of the Services’ components, files, modules, audio-visual content, or licensed materials separately from the Platform.
  4. Reselling: Sublicense, sell, rent, or lease the Services, or use the Services with an intent to resell without express commercial authorization.
  5. Bypassing Security: Use VPNs, proxies, or similar mechanisms to circumvent territorial access restrictions or export control sanctions.

Content Standards

You are solely responsible for the accuracy, quality, and legality of "Your Data" and "User Content". You agree not to use the Services to store, upload, or transmit: 

  1. Infringing Material: Content that infringes upon the Intellectual Property Rights (copyrights, trademarks, patents) of Disprz, Content Providers, or any third party.
  2. Unlawful Material: Material that is libelous, defamatory, or otherwise violates Applicable Law or third-party privacy rights.
  3. Malicious Code: Material containing viruses, malware, or other technologically harmful components.
  4. Sensitive Data Restrictions: Unless specifically authorized in writing by our Data Protection Officer, you must not process:
    1. Payment card data subject to PCI DSS.
    2. Patient data or Protected Health Information (PHI) defined under HIPAA.
    3. Data subject to 21 CFR Part 11.

Security and Integrity

  1. Credential Security: You are responsible for the security and confidentiality of the login credentials used to access the Services.
  2. Unauthorized Use: You must use commercially reasonable efforts to prevent unauthorized access. "Unauthorized Use" includes sharing credentials with non-authorized third parties or allowing former employees to retain access after their cessation of employment.
  3. System Interference: You shall not remove, minimize, block, or modify any trademarks, copyright notices, or digital watermarks within the Services.

Legal and Ethical Compliance

  1. Export Controls: You represent that you are not located in a prohibited jurisdiction (e.g., Cuba, Iran, North Korea, Syria) or listed on any government restricted party list.
  2. Anti-Corruption: Use of the Services must comply with our Anti-Bribery and Anti-Corruption Policy. Offering or accepting bribes or improper advantages is strictly prohibited.
  3. Modern Slavery: Users must adhere to ethical labor practices as outlined in our Modern Slavery Policy, reflecting a zero-tolerance approach to forced labor and human trafficking.

Monitoring and Enforcement

Disprz reserves the right to monitor compliance with this AUP. Violation of this policy constitutes a Material Breach of the Global Terms of Service and may result in:

  1. Immediate suspension or disablement of access to the Platform.
  2. Termination of the Agreement for cause.
  3. Liability for fees equivalent to those of properly licensed use in cases of unauthorized redistribution.
  4. Reporting of violations to law enforcement or regulatory authorities where applicable.

Reporting Violations

If you identify any claims, threatened claims, or potential violations of this policy, you must inform Disprz promptly at contracts@disprz.com. For copyright infringement concerns, please submit a DMCA Notice to contracts@disprz.com.
